셀트리온의 코스닥시장 우회상장 사례

본 사례는 2008년 5월 코스닥시장에서 발생한 셀트리온의 오알켐을 통한 우회상장 사례이다. 바이오의약품을 제조하는 셀트리온은 규모와 성장성이 우수한 기업이나 일부 코스닥시장상장요건을 충족하지 못하여, 성장성이 정체된 코스닥 상장업체인 오알켐과의 합병을 통해 코스닥시장에 우회상장 하였다. 우회상장 이후 사업경쟁력을 살려 지속적으로 성장하였고, 시가총액 2조원대의 기업으로 코스닥 시장의 최대기업으로 성장하였다. 본 사례는 가장 성공적인 우회상장 사례이며, 우회상장사례 중 활용빈도가 가장 높은 합병을 통한 우회상장의 진행과정 및 관련 내용을 포함한 예시자료이다.
